The scope, deliverables, timelines, and pricing for each project are defined in a separate Project Agreement or Proposal provided to the client prior to commencement.
4. Client Responsibilities
As a client, you agree to:
- Provide accurate, complete, and timely information required for project execution
- Supply necessary content, images, branding assets, and approvals on time
- Designate a primary point of contact for communication
- Review and provide feedback within agreed timelines
- Make payments as per the agreed payment schedule
- Not engage in any activity that violates applicable laws or third-party rights
Delays caused by the client’s failure to provide required materials or approvals may result in revised timelines and additional charges.
5. Project Agreement & Scope of Work
- All projects commence only after a formal Project Proposal or Agreement has been approved by the client
- Any changes to the agreed scope of work (scope creep) will be treated as additional work and may be subject to additional charges
- DCI reserves the right to revise timelines if the project scope changes during execution
- Verbal agreements are not binding — all changes must be confirmed in writing via email
6. Payment Terms
6.1 Payment Schedule
- Payment schedules are defined in the individual project agreement
- Standard projects typically require an advance payment before work commences
- Remaining payments are milestone-based unless otherwise agreed
6.2 Late Payments
- Invoices are due within the timeframe specified in the project agreement
- Late payments may result in suspension of work until dues are cleared
- DCI reserves the right to charge a late payment fee on overdue invoices
6.3 Currency
- All payments are to be made in Indian Rupees (INR) unless otherwise specified for international clients
- International clients may be invoiced in USD based on mutual agreement
6.4 Taxes
- All applicable taxes including GST will be added to invoices as per Indian tax regulations
7. Intellectual Property Rights
7.1 Client-Owned Assets
Upon receipt of full and final payment, the client receives ownership of the final deliverables including website files, app source code, and design assets created specifically for their project.
7.2 DCI-Owned Assets
DCI retains ownership of:
- Proprietary frameworks, tools, and methodologies used during development
- Pre-existing code libraries, plugins, and templates
- Internal processes and systems
7.3 Portfolio Rights
DCI reserves the right to showcase completed work in our portfolio, case studies, and marketing materials unless the client requests confidentiality in writing.
7.4 Third-Party Assets
Any third-party assets used in a project (stock images, fonts, plugins, themes) are subject to their respective licensing terms. The client is responsible for ensuring appropriate licenses are maintained.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes but is not limited to business strategies, client data, technical specifications, and financial information.
This confidentiality obligation remains in effect for 2 years after the completion of the project unless otherwise agreed.
9. Revisions & Approvals
- The number of revisions included in each project is specified in the project proposal
- Additional revisions beyond the agreed limit will be charged at DCI’s standard hourly or fixed rate
- Client approval at each milestone stage confirms acceptance of that stage’s deliverables
- Once a stage is approved and development progresses, revisiting approved stages may incur additional charges
10. Project Delays & Cancellations
10.1 Delays by Client
If a project is delayed due to the client’s failure to provide required information, content, or approvals, DCI cannot be held responsible for missed deadlines.
10.2 Cancellation by Client
- If a client cancels a project after work has commenced, any payments made are non-refundable
- DCI will invoice for all work completed up to the point of cancellation
- Cancellation must be communicated in writing via email
10.3 Cancellation by DCI
DCI reserves the right to terminate a project if:
- The client engages in unlawful, abusive, or unethical behavior
- Payment obligations are not met after due notice
- The project scope becomes unfeasible
In such cases, DCI will refund any advance payments for work not yet commenced.
11. Warranties & Disclaimers
- DCI warrants that all services will be performed with reasonable skill and care
- We do not guarantee specific outcomes such as search engine rankings, app downloads, or revenue increases — these depend on multiple external factors
- Websites and applications are tested across standard browsers and devices — we cannot guarantee compatibility with all environments
- DCI is not responsible for third-party platform changes (Google algorithm updates, App Store policy changes, hosting provider issues) that may affect deliverables post-launch
12. Limitation of Liability
To the maximum extent permitted by law:
- DCI’s total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project in question
- DCI shall not be liable for any indirect, incidental, consequential, or punitive damages including loss of profits, data, or business opportunities
- DCI is not liable for any damages resulting from the client’s misuse of deliverables or third-party service failures
13. Hosting & Maintenance
- Website hosting is the client’s responsibility unless a hosting package is included in the project agreement
- Post-launch maintenance, updates, and support are not included unless a Maintenance Agreement has been signed separately
- DCI is not responsible for website downtime, data loss, or security breaches caused by the client’s hosting provider
14. Digital Marketing Services
For clients engaging DCI for Digital Marketing, SEO, or Paid Advertising services:
- SEO results are not guaranteed within a specific timeframe — search engine rankings depend on multiple factors outside DCI’s control
- Paid advertising budgets are managed on behalf of the client — the client is responsible for ad spend
- DCI will provide regular performance reports as agreed
- Either party may terminate ongoing digital marketing services with 30 days written notice
15. Governing Law & Dispute Resolution
These Terms and Conditions are governed by the laws of India. Any disputes arising from these terms or our services shall be:
- First attempted to be resolved through mutual discussion and negotiation
- If unresolved within 30 days, referred to arbitration in accordance with Indian Arbitration laws
- The jurisdiction for any legal proceedings shall be Panchkula, Haryana, India
16. Force Majeure
DCI shall not be held liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet outages, pandemics, or power failures.
17. Amendments to These Terms
DCI reserves the right to update or modify these Terms & Conditions at any time. Changes will be published on this page with an updated “Last Updated” date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
18. Entire Agreement
These Terms & Conditions, together with any signed Project Agreement or Proposal, constitute the entire agreement between DCI and the client and supersede all prior discussions, representations, or agreements.
